Terms of Service

Artz Ventures Ltd ("OnlineArtz", "we", "us" or "our") operates an online marketplace for viewing, buying and selling original works of art through our website at www.onlineartz.com, our mobile application and any related services, software or features we make available (each a "Service" and together the "Services").

These Terms of Service ("Terms"), together with our Privacy Policy at /privacy and any other policies referenced here, form a binding legal agreement between you and Artz Ventures Ltd. By accessing or using the Services, creating an account, listing artwork, or making a purchase, you confirm that you have read, understood and agree to these Terms. If you do not agree, you must not use the Services.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to that entity.

We may modify, discontinue or restrict access to the Services, or update these Terms, at any time. If we make material changes, we will post the updated Terms on the Services or notify you by reasonable means. The date at the top of this page shows when the Terms were last revised.

By continuing to use the Services after changes take effect, you agree to the updated Terms. If you do not accept the changes, your only remedy is to stop using the Services and close your account.

We may change URLs, features, listings, artwork or other content on the Services at any time without notice. We may correct errors, inaccuracies or omissions on the Services.

We reserve the right to remove or disable access to any content or listing that we consider objectionable, unlawful, misleading or harmful to the marketplace.

The Services are intended for persons aged 18 or older. By using the Services you represent that you are at least 18 years old. We do not knowingly permit use by anyone under 18.

To list artwork or make a purchase (other than guest checkout where offered), you must create an account and provide accurate, current and complete information. You are responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorised use.

We may suspend or terminate accounts if information provided is inaccurate, incomplete or misleading, or if we reasonably believe the account has been compromised or misused.

Our Privacy Policy at /privacy explains how we collect, use and protect personal data. By using the Services you acknowledge that we will process personal data as described there.

As an artist seller, you may submit listings for original works of art that you created and wish to sell through the Services. You may not list works created by another person. Listings must be accurate, complete and comply with our listing guidelines and applicable law. We may edit or reject listings that do not meet our standards.

You are solely responsible for every artwork you list. You represent and warrant that you are the creator and owner of listed works (or have all rights necessary to sell them), and that listing and selling them through the Services does not infringe any third-party rights or violate any law.

By listing artwork, you grant OnlineArtz a worldwide, non-exclusive, royalty-free licence to use, reproduce, display and distribute images and descriptions of your works on and through the Services and in marketing communications for the purpose of operating and promoting the marketplace. This licence ends when you remove a listing, except as needed to complete orders already placed.

When your artwork sells, you ship it directly to the buyer unless we agree otherwise in writing. You must ship within the timeframe shown in your seller dashboard or communicated by us (typically within seven days of sale). You are responsible for secure packaging, accurate shipping details and complying with export or customs requirements where applicable.

Seller payouts are processed through our payment partners (including Stripe Connect) after successful delivery and any applicable return period. Fees, commissions and subscription charges are disclosed when you join or list on the Services. You are responsible for providing accurate tax and payout information.

You agree to comply with our returns and refunds policy for sales made through the Services. We may cancel a sale if the artwork is not shipped in time, is materially misdescribed or cannot be delivered as listed.

When you buy an original work of art through the Services, you purchase from the artist identified on the listing, not from OnlineArtz. We facilitate the transaction, payment and communication but are not the seller of the artwork.

Prices are shown on each listing. Unless stated otherwise, prices exclude shipping, handling and applicable taxes (including VAT), which are shown or calculated at checkout. You are responsible for any import duties or customs charges in your country.

We or our payment partners collect billing and shipping information and process payment. The artist ships the artwork to you. Delivery times vary by artist, destination and carrier. Tracking information is provided when available.

Returns and refunds are handled in accordance with our order and returns policy and applicable consumer law. Certain sales may be final where permitted by law and clearly disclosed at checkout.

We may cancel an order if an item is mispriced, unavailable or cannot be fulfilled. If we cancel your order, you will not be charged or you will receive a refund.

If you connect with another user through the Services about a listed artwork (or a similar or custom work), you must complete the transaction through OnlineArtz. Circumventing the platform may result in account suspension and other remedies available to us.

Amounts on the Services may be shown in EUR or other supported currencies. Unless stated otherwise, prices do not include VAT, sales tax or similar charges. Sellers are responsible for their own tax obligations. We may collect and remit VAT or other taxes where required by law.

We try to display artwork colours accurately, but screen settings vary. We are not liable for minor colour differences between on-screen images and the physical work.

You may be able to post reviews, messages, profile information or other content ("Member Content") on the Services. You retain ownership of your Member Content, but grant us a licence to use it on the Services to operate and promote the marketplace.

You are solely responsible for Member Content you post. It must not infringe rights, be unlawful, defamatory, harassing, misleading or otherwise objectionable. We may remove Member Content at our discretion.

The Services, our branding, software, design and content we provide ("Platform Content") are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute or exploit Platform Content without our written consent.

OnlineArtz trademarks and logos may not be used without permission. Artist names and artwork images remain the property of their respective owners.

You agree not to: violate law or third-party rights; post false, fraudulent or infringing content; interfere with the Services or their security; scrape or harvest data without permission; send spam or unsolicited advertising; impersonate others; or use the Services for any unauthorised commercial purpose.

We may investigate violations and cooperate with law enforcement. We may suspend or terminate access, remove content and take other action we consider appropriate.

You may close your account at any time by contacting us. We may suspend or terminate your account or access to the Services at any time, with or without notice, if you breach these Terms or if we reasonably believe your conduct harms the marketplace or other users.

Upon termination, provisions that by their nature should survive (including payment obligations, licences granted for completed transactions, disclaimers, indemnity and limitation of liability) will continue to apply.

If you use our mobile app, your wireless carrier's standard charges may apply. We may send service-related notifications to the device or contact details associated with your account.

Subject to these Terms, we grant you a limited, revocable, non-transferable licence to install and use our mobile application on a device you own or control for personal use of the Services. App store terms may also apply.

We may charge fees for certain Services, including seller subscriptions and transaction commissions, as disclosed on the Services. By making a purchase or subscribing, you authorise us and our payment partners to charge your chosen payment method.

You represent that you have the legal right to use any payment method you provide. Payment processing is subject to our Privacy Policy and the terms of our payment providers, including Stripe.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free operation of the Services. We do not verify every statement made by users and are not responsible for conduct of buyers, sellers or third parties. You use the Services at your own risk.

You agree to defend, indemnify and hold harmless Artz Ventures Ltd, its directors, officers, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from your use of the Services, your listings, your Member Content, your breach of these Terms or your violation of law or third-party rights.

To the fullest extent permitted by law, Artz Ventures Ltd and its affiliates will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from or related to the Services or these Terms.

Our total liability for any claim arising from or relating to the Services or these Terms is limited to the greater of (a) amounts you paid to us for the transaction giving rise to the claim in the three months before the claim arose, or (b) one hundred pounds sterling (GBP 100), except where liability cannot be limited under applicable law (including mandatory consumer rights in the UK and EU).

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any other liability that cannot be excluded by law.

These Terms are governed by the laws of England and Wales. Subject to mandatory consumer protections in your country of residence, the courts of England and Wales have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

If you are a consumer in the European Union or United Kingdom, you may also have the right to use alternative dispute resolution schemes or to bring proceedings in the courts of your country of residence where required by law.

These Terms constitute the entire agreement between you and us regarding the Services. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition or sale of assets.

We may provide notices by email, through the Services or by posting on the website.
